Useful distinction between financial complexity and actual cash risk. Looking at who ultimately carries the downside adds another layer to assessing financial resilience.

Thank you. That distinction has a live test running, and it landed in a filing yesterday.

NVIDIA filed an 8-K on August 17, accession 0001045810-26-000069, naming the Ohio instrument: residual value guaranties over approximately 4.25 gigawatts of IT load, cumulatively capped at $105 billion, with OpenAI as tenant. On who carries the downside, the filed mechanics answer in two parts. The trigger is OpenAI insolvency resulting in lease default, or failure to make lease payments. The measure is the shortfall between a guaranteed minimum lease value and what a replacement lease or a sale recovers.

There is a third part that may interest you more than the first two. OpenAI has agreed to reimburse and indemnify NVIDIA for amounts actually paid. So the guarantor's exposure is not final: it holds a claim back against the party whose default triggered the payment, collectible to the extent that party can pay at that moment.

Written up yesterday, with a dated correction on top of it now that the filing has landed: https://capefearadvisors.substack.com/p/circular-financing-in-chips-land?r=4i4mhm

I read this as pointing to the Oracle ←→ OpenAI trade relationship. So what I think about is if/when OpenAI runs short of cash and the lights around Oracle flash red, how far do those ripples travel outward?

You've read it right, and I'd answer the "how far" by redirecting it: watch where the outside cash comes from, because the ripple starts the moment it stops. Oracle built against OpenAI's orders, so Oracle's light traces back to whether OpenAI keeps getting funded from outside the circle. Right now the marginal outside dollar is SoftBank's. Its $30 billion follow-on runs in three $10 billion tranches; two are in, April and July, both disclosed by SoftBank itself, and the third is set for October 1, with the closing able to pull forward if OpenAI lists. So you don't have to guess the reach. You watch the call. October 1 is the next place that light stays green or doesn't, and it sits upstream of every one of Oracle's.
